I updated my iPod touch to 5.01. Now I want to update my iPhone. 5.01 software version is already downloaded when updating my iPod touch. Do I need to download again to update iPhone to 5.01 via iTunes? Or will it just update without downloading?

Update OTA straight from your device.

Go to "settings" then "general" then "software update". Once you press the software update button it will start the process. Be sure you are connected via wifi.
