Downloading iOS 5.1 Failed

I had this happen on my iPad. I fixed it by closing all background tasks.

You should be backed up from iCloud. You can restore from your device as well. You can back up first though and restore. Restoring was the only way to get a successful 5.1 update on my iPad.

That would be a last resort, though. If the update fails on the phone (like it did for the OP), the next step is to try updating on the computer. That usually works.

I tried that with the same failed message so I had to restore. It was fine, restoring from iCloud is surprisingly fast.

I tried to update from my computer and after two attempts I managed to download the update software but while installing and after some times I got a message saying that the install process failed! At this stage my iPhone was formatted and I have to restore the last backup after installing the software 5.1. The strange thing is installing the new update through the Restore process was very straight forward and easier than download & install process! After installing the iOS 5.1, the restoring of the last backup went very smooth.
Finally I did it and thank you all for your support.
